Summary (not legally binding)

  • You may use AbsoluteUI free of charge, forever, for any purpose, commercial or non-commercial, as an individual or any organization.
  • You may not modify AbsoluteUI's code. You may configure, theme, extend, and wrap it through its documented public interfaces, and your build tools may bundle and minify it.
  • You must attribute AbsoluteUI to Kasadara Technology Solutions Pvt Ltd in your application's notices or credits.
  • AbsoluteUI is provided as is, without warranty.

The full terms below govern. If this summary conflicts with them, the full terms prevail.

1. Definitions

1.1 "Licensor" means Kasadara Technology Solutions Pvt Ltd, a company incorporated in India with its registered office at 25, Avinashi Rd, TNHB Colony, Indira Nagar, Civil Aerodrome Post, Coimbatore, Tamil Nadu 641014.

1.2 "Software" means AbsoluteUI as distributed by Licensor, in any version, including compiled JavaScript, type declaration files, stylesheets, design tokens, icons, metadata, documentation, examples, and all updates Licensor makes available under this License.

1.3 "You" means the individual or legal entity exercising rights under this License, including its affiliates, employees, and contractors acting on its behalf.

1.4 "Application" means a website, web application, desktop or mobile application, internal tool, or other software product or service that incorporates the Software and provides substantial functionality beyond the Software itself.

1.5 "Build Transformation" means automated processing of the Software by standard development tools solely to incorporate it into an Application, including bundling, tree shaking, minification, transpilation, compression, code splitting, and module format conversion, provided no manual alteration of the Software's code or behavior occurs.

1.6 "Public Extension Points" means the configuration options, theming and design-token interfaces, documented CSS styling hooks, icon provider interfaces, templates, slots, events, and public APIs documented by Licensor for use by consumers of the Software.

1.7 "Modify" means to edit, patch, alter, translate, adapt, fork, or otherwise change the Software's code, compiled output, or stylesheets, other than through Build Transformation or Public Extension Points.

1.8 "Distribute" means to copy, publish, transfer, sell, or otherwise make available to any third party.

2. License Grant

2.1 Grant. Subject to Your compliance with this License, Licensor grants You a worldwide, perpetual, non-exclusive, royalty-free, non-transferable license to:

  1. use the Software for any lawful purpose, commercial or non-commercial;
  2. incorporate the Software into Applications;
  3. apply Build Transformations to the Software;
  4. configure, theme, style, and extend the Software through Public Extension Points;
  5. create framework adapters, wrappers, and components that interact with the Software solely through its public APIs, without copying or Modifying the Software's code;
  6. create and Distribute themes, design tokens, and icon sets built through Public Extension Points, provided they contain no part of the Software's code;
  7. Distribute the Software solely as an embedded part of an Application, in unmodified or Build-Transformed form; and
  8. make the Software available to end users of Your Application solely as necessary to operate that Application.

2.2 No Fee. No license fee, royalty, or other payment is required for any use permitted by this License.

2.3 Perpetuity. The license granted for each version of the Software You receive is perpetual and continues unless terminated under Section 10.

3. Restrictions

Except as expressly permitted in Section 2, You shall not:

  1. Modify the Software;
  2. create derivative works of the Software, other than Applications and the items permitted in Sections 2.1(4) to 2.1(6);
  3. Distribute the Software on a standalone basis, or as part of any UI library, component library, design system, UI kit, SDK, framework, template, or developer toolkit whose primary value derives from the Software;
  4. offer the Software, or any product substantially replicating its functionality using its code, as a competing product or service;
  5. sublicense, sell, rent, lease, or lend the Software, except as embedded in an Application under Section 2.1(7);
  6. remove, alter, or obscure any copyright notice, license notice, or attribution in the Software;
  7. reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits such activity notwithstanding this restriction;
  8. circumvent any technical measure in the Software that protects notices or license information;
  9. use the Software in violation of applicable law; or
  10. represent that the Software is Your own work, or that Licensor sponsors or endorses You or Your Application.

4. Attribution

4.1 Notice Retention. You shall retain all copyright and license notices contained in the Software. Where a Build Transformation would remove such notices from shipped files (for example, comment stripping during minification), You shall either configure the tool to preserve them or satisfy Section 4.2 in a manner accessible to end users.

4.2 Application Credits. Each Application that incorporates the Software shall include the following attribution, or a substantially similar statement approved in writing by Licensor, in the Application's third-party notices, open-source or legal notices, "About" screen, credits page, or equivalent location reasonably accessible to its users:

Where an Application has no user-accessible notices or credits location, the attribution shall be included in the Application's user or administrator documentation.

4.3 License Copy. When You Distribute an Application that includes the Software, You shall include a copy of, or a link to, this License together with the attribution in Section 4.2.

4.4 No Endorsement. Attribution does not grant any right to use Licensor's trademarks except as required by this Section 4.

5. Ownership and Reservation of Rights

5.1 The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all copyrights, trademarks, trade secrets, and other intellectual property rights.

5.2 All rights not expressly granted in this License are reserved by Licensor.

5.3 "AbsoluteUI" and associated names and logos are trademarks of Licensor. Except for the attribution required by Section 4, this License grants no right to use them.

6. Feedback

If You provide suggestions, bug reports, or other feedback about the Software, You grant Licensor a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose without obligation to You.

7. Updates, Security Fixes, and Future Versions

7.1 Licensor has no obligation to provide support, maintenance, updates, or security fixes, but may choose to do so, including by publishing security advisories and fixed versions.

7.2 Because Modification is not permitted, You acknowledge that defects and vulnerabilities in the Software can be remediated only through versions released by Licensor. You are responsible for evaluating whether the Software is suitable for Your use and for applying released updates.

7.3 Licensor may release future versions of the Software under different license terms. Any such change does not affect the rights granted under this License for versions You received under it.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, ACCESSIBILITY CONFORMANCE, OR UNINTERRUPTED OR ERROR-FREE OPERATION. STATEMENTS IN DOCUMENTATION REGARDING STANDARDS, ACCESSIBILITY, SECURITY, OR PERFORMANCE ARE DESIGN OBJECTIVES AND DO NOT CONSTITUTE WARRANTIES. YOU REMAIN SOLELY RESPONSIBLE FOR THE COMPLIANCE, SECURITY, AND FITNESS OF YOUR APPLICATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE SHALL NOT EXCEED INR 1,00,000 (one lakh rupees).

10. Termination

10.1 Automatic Termination. This License, and all rights granted under it, terminate automatically if You breach any of its terms.

10.2 Cure and Reinstatement. If You cure a breach within thirty (30) days after first receiving written notice of it from Licensor, Your rights are reinstated, unless You previously received notice of a breach of this License and had rights reinstated.

10.3 Effect of Termination. Upon termination, You shall cease all use and Distribution of the Software, and of Applications incorporating it, and delete all copies in Your possession or control.

10.4 Survival. Sections 3, 5, 6, 8, 9, 10.3, 11, 12, and 13 survive termination.

11. Indemnification

To the extent permitted by applicable law, You shall indemnify and hold harmless Licensor and its affiliates from any third-party claim arising out of Your Applications or Your breach of this License, including reasonable legal fees.

12. Compliance with Laws

You are responsible for complying with all laws applicable to Your use and Distribution of the Software, including export control and sanctions laws.

13. Governing Law and Jurisdiction

This License is governed by the laws of India, without regard to its conflict-of-laws principles. The courts at Coimbatore, India shall have exclusive jurisdiction over any dispute arising out of or relating to this License, except that Licensor may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. General

14.1 Entire Agreement. This License is the entire agreement between You and Licensor regarding the Software and supersedes all prior understandings regarding its subject matter.

14.2 Severability. If any provision is held unenforceable, it shall be enforced to the maximum extent permissible and the remaining provisions remain in full force.

14.3 No Waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.

14.4 Assignment. You may not assign or transfer this License except together with the transfer of the Application incorporating the Software. Licensor may assign this License without restriction.

14.5 Notices. Notices to Licensor shall be sent to legalops@kasadara.com and 25, Avinashi Rd, TNHB Colony, Indira Nagar, Civil Aerodrome Post, Coimbatore, Tamil Nadu 641014.

14.6 Language. This License is written in English. Any translation is for convenience only, and the English version prevails.

15. Acceptance

By downloading, installing, copying, or using the Software, You agree to be bound by this License. If You do not agree, You shall not download, install, copy, or use the Software.
